Welcome to Clutch, a brand and product of Tilted Planet Ltd, an Illinois corporation. These Terms of Service ("Terms") govern your use of the Clutch platform, including the Clutch iOS app for operators, the Clutch Client iOS app for passengers, the web-based client portal at clutchclients.com, and all related services (collectively, the "Platform").
By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Clutch is a platform connecting professional transportation operators (drivers and fleet owners) with passengers. Clutch is not itself a transportation provider. Operators are independent businesses that use Clutch to manage bookings, dispatch, invoicing, fleet tracking, and client relationships. Passengers use Clutch to book rides, communicate with their drivers, and manage their transportation needs.
Clutch is designed and operated on the principles of mutual respect, dignity, and safety. Our customers are our drivers and our passengers, and our goal is to serve the best interests of both. To be blunt: we have a no-shenanigans and no-scumbags policy. All parties are expected to treat each other with respect and professionalism at all times.
You must be at least 18 years old to create an account. Operators must hold all licenses and permits required by their jurisdiction to provide transportation services. By using the Platform, you represent that you meet these requirements.
All users must provide accurate, current, and complete information during registration. The Platform uses commonly available methods and databases to screen and authenticate identities, including:
You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.

Clutch facilitates payment processing between operators and passengers. Payment terms, rates, and methods are set by individual operators. Clutch may process payments on behalf of operators through integrated payment gateways (Stripe, Square, or QuickBooks Online Payments). Clutch does not set ride pricing — operators are independent businesses.
Clutch Net is an optional feature allowing operators to receive ride requests from passengers in real time. Participation in Clutch Net is voluntary. Operators set their own availability, pricing, and service areas. Passengers using Clutch Net understand that ride offers come from independent operators, not from Clutch itself.
The following are strictly prohibited on the Platform:
Violation of these rules may result in immediate account termination.
The Clutch name, logo, software, and all associated content are the property of Tilted Planet Ltd. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written permission.
The Platform is provided "as is" and "as available." Clutch does not guarantee uninterrupted access or error-free operation. Clutch is not responsible for the actions, omissions, quality, or legality of any operator's services. Transportation services are provided by independent operators, not by Clutch.
To the maximum extent permitted by law, Tilted Planet Ltd's total liability for any claims arising from use of the Platform is limited to the amount you paid to Clutch (not to an operator) in the 12 months preceding the claim, or $100, whichever is greater.
You may delete your account at any time. We may suspend or terminate accounts that violate these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately.
We may update these Terms from time to time. Material changes will be communicated through the Platform or via email. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Cook County, Illinois.
